On Monday, August 31, 2026, OranjeBTC S.A. – Educação e Investimento (OBTC3) completed the settlement of its 3rd debenture issue (debt securities issued by the company), in two series, through a private placement. A total of 210,000,000 simple debentures were subscribed and paid in, non-convertible into shares, with a par value of R$ 1.00 each, totaling R$ 210,000,000.00, of which R$ 130,000,000.00 in the First Series and R$ 80,000,000.00 in the Second Series.

According to the company, the debentures’ principal amount was converted into dollars based on the PTAX selling exchange rate published by the Central Bank of Brazil on the settlement date, resulting in principal debt equivalent to US$ 40,528,022.23. With the completion of the subscription and payment, OranjeBTC received all the funds corresponding to the issue.

According to the offering documents, the net proceeds were allocated mainly to the acquisition of Bitcoin, as well as to the repurchase of shares issued by OranjeBTC itself and the payment of operating costs and expenses. The debentures are secured by digital assets owned by the company, in accordance with the security instruments.

The company states that the completion of the issue represents another step in its capital and treasury management strategy, expanding the resources available for the execution of its long-term strategy.
