Companhia Siderúrgica Nacional (CSNA3) sent a notice to the market this Wednesday, August 12, 2026, to provide clarifications to the Brazilian Securities and Exchange Commission (CVM) regarding news about the divestment process of its subsidiary CSN Cimentos Brasil S.A., following questions based on a report published by the newspaper Valor Econômico on August 10, 2026.

CSN reported that on August 10, 2026, it promptly disclosed a Material Fact regarding the receipt of binding offers for the potential full sale of CSN Cimentos, in line with the Strategic Update Material Fact of January 15, 2026, which addressed the start of a structured and coordinated divestment process for the cement asset. According to the company, the deadline for submitting binding offers ended on August 7, 2026, and the Material Fact disclosure took place on the first business day thereafter.

In the notice, CSN states that information deemed relevant has already been communicated to the market, emphasizing that the materiality lies in confirming the receipt of more than one binding offer, which would indicate interest in the acquisition in a competitive environment for the asset. The company adds that the news published in the press did not cause any unusual impact on the trading volume or the price of its shares, an understanding used to reinforce that, in its assessment, the report did not bring any additional relevant information.

CSN stresses that there are confidentiality commitments that prevent disclosure of information about the participants in the process and states that it has not disclosed a reference value for the transaction. The company classifies the value expectation mentioned in the news article as a premature conjecture and says that indicating any figure would run counter to the company’s best interests. For the company, the information with the potential to influence investor decisions will be the final name of the winning bidder and the final amount offered, data that cannot yet be provided because negotiations are still ongoing.

In response to the CVM’s request regarding documents already filed in the Empresas.NET System related to the matter, CSN cites the Strategic Update Material Fact of January 15, 2026, the Material Fact on Receipt of Binding Offers of August 10, 2026, and notices to the market published on January 27, 2026, March 18, 2026, and April 16, 2026, all referring to speculation and the progress of preliminary stages of the divestment. The company states that it believes it has fully, promptly, and transparently fulfilled its disclosure duties under CVM Resolution No. 44/21 and reiterates its commitment to keeping investors and the market informed about relevant developments that may materialize.
